Different sound card - Will it make a difference?

Currently I have a stereo sound card but nothing fancy. I plan to upgrade to better 2.1 speakers. I already have a nice stereo so this will be used exclusively on my desktop and will not be going thru reciever.

I like the Altec Lansing FX4021 2.1 system.

Is it worth it to upgrade my sound card to M-Audio?
and/or
Is it worth it to upgrade my speakers from the $30 Logitech system I currently have?

My 2 cents would be 'speakers first'

if you want a nice system check out the swan and m-audio powered monitors.
